Proposed profit appropriation.
If the profit and loss account shows a profit,
such additions shall be made to the reserves as
the Managing Board shall determine in
consultation with the Supervisory Board.
After approval and adoption of the annual
accounts, first the holders of priority shares shall
be paid, in so far as is possible, four per cent of
the nominal value of their shares and next the
holders of ordinary shares shall be paid, in so far
as is possible, five per cent of the nominal value
of their shares.
The members of the Supervisory Board shall
together receive a bonus of one per cent of the
remaining balance. This bonus shall be divided
among the members as they agree mutually.
The then remaining amount shall be placed at
the disposal of the general meeting of share
holders.
The rights of the holders of priority shares
include the right to decide the number of
members of the Supervisory Board and of the
Managing Board.
The approval of the holders of priority shares is
also required for resolutions concerning
amendments to the Articles of Association and
concerning the dissolution of the company.
The priority shares are held by A.B.N.-Stichting,
a foundation established at Amsterdam, whose
committee is made up of all present members of
the Supervisory Board and the Managing Board
of Algemene Bank Nederland N.V.
